Alissa provides guidance to corporations, lenders, developers, sellers, purchasers, landlords and tenants on commercial real estate transactions. She frequently advises clients on commercial financing, solar development, office and retail leases, purchase and sale agreements, as well as general corporate formation and real estate due diligence. Alissa has significant experience drafting and negotiating purchase and sale agreements, retail and office leases, and commercial loan documents. 

Although Alissa’s primary practices is transactional, she also has state and appellate level litigation experience relating to foreclosures, evictions and real property title issues, including boundary and easement disputes, mortgage and mechanics’ lien validity, and priority disputes.

Experience

Real Estate Transactions:

  • Representing developers and land owners in connection with the acquisition, sale and development of commercial, residential and mixed-use real estate in Twin Cities areas.
  • Representing national lenders in connection with land and construction financings for chain hotels and multi-family apartment complexes in numerous states throughout the country.
  • Representing national restaurants, retailers, and services industries draft and negotiate commercial leases.
  • Representing small and large corporations sell and purchase commercial real estate.
  • Conducting general real estate due diligence by and advising clients on title, zoning and land use issues.

Real Estate Litigation:

  • Successfully represented national banks in contested foreclosures by action proceedings.
  • Successfully represented national banks and community banks in mortgage priority disputes and proceeding subsequents after mortgage foreclosures in multiple counties in Minnesota.
  • Successfully represented local community bank at the appellate level in connection with a contested proceeding subsequent action.
  • Successfully represented numerous private lenders, banks and landlords in unlawful detainer actions involving commercial and residential tenants.

Financing:

  • Representing the lead lender on multiple $100 million syndicated construction financing on numerous multi-phase multi-family apartments in California.
  • Representing the lead lender on multiple construction financing ranging from $10 - $20 million on numerous North Loop multi-family apartments.
  • Representing the lender on a ground lease and $50 million construction financing for commercial and residential development in Texas.
  • Representing a private lender on a historic tax credit construction financing in Texas.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".
