Peter Michaud serves as lead counsel to private equity funds and their portfolio companies as well as strategic buyers in connection with stock and asset acquisitions and divestitures, mergers, recapitalizations, spin-offs, roll-ups and other forms of sales and reorganizations. Peter’s representation of his clients in acquisition and divestiture matters also involves senior finance, mezzanine and other subordinated lender transactions. Peter also provides ongoing legal services to companies on a variety of business matters ranging from contract review and negotiation, strategic initiatives and joint ventures, and other matters affecting day-to-day operations of a business.

In his transactional practice, Peter also provides assistance to his clients on federal and international antitrust matters related to the acquisition or divestiture of a company or division, including filings required under U.S. Hart-Scott-Rodino Act.

  • Ongoing representation of one of the country’s largest publicly-traded food distribution service companies including a series of over twenty acquisitions throughout the United States. 
  • Represented a Chicago-based private equity firm in a series of acquisitions (and ongoing ownership) of metal fabrication companies.
  • Represented a Denver-based private equity firm in a series of roll-up acquisitions (and subsequent divestitures) of medical and health products suppliers. 
  • Represented a public company in the acquisition of a major competitor located in Chicago.
  • Represented a leading private equity fund in the divestiture of an international environmental consulting firm to a British company. 
  • Represented a Minnesota-based private equity fund in purchasing all of the assets of a health, beauty aids and household products distributor located in Michigan.
  • Represented a Minnesota-based fundless sponsor in the acquisition of a drug testing and medication monitoring laboratory.
  • Represented a Minnesota-based industry-leader in the industrial automation and bulk material handling business in the sale of a majority interest to a South Korean conglomerate.
  • Represented a leading private equity fund in its acquisition and eventual divestiture of a large PVC and energy control door manufacturer located in Pennsylvania (with subsequent add-on acquisitions located in other states).
  • Represented a leading private equity fund in the acquisition (and ongoing ownership) of a major manufacturer and distributor of high quality toys and novelty products.

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".
