Steve Johnson represents financial institutions—including banks, holding companies, thrifts, and trust companies—in connection with mergers and acquisitions, regulatory and supervisory matters, capital formation, and reorganizations and restructurings

Steve regularly counsels bank management and boards on strategic and regulatory matters and is a frequent presenter at industry conferences. He has represented financial institutions throughout the Midwest and Southwest.

Before joining the firm, Steve clerked for Justices Harry MacLaughlin and Rosalie Wahl on the Minnesota Supreme Court, and served as a special assistant attorney general to the state of Minnesota.

  • Sale or purchase of over 100 banks and thrifts including ten in 2013-2014.
  • Acquisition of a mutual thrift by national bank in 2013 through a voluntary supervisory merger conversion.
  • Conversion of a federal thrift charter to a state commercial bank charter in 2013.
  • Merger First American Bank, N.A. and Great Northern Bank in 2014 through an exchange of stock.
  • Sale of branch banks by Frandsen Bank and Trust in 2014.
  • Capital raise by Lakeview Bank through an unusual secondary offering that combined holding company common stock with bank subordinated debentures.
  • Purchase of a bank’s trust department business in 2012 by trust company combined with a long-term referral agreement for additional trust clients.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
