Lindquist & Vennum represents a wide variety of businesses in the food and beverage supply chain. Our agribusiness specialty team regularly assists our clients who engage in business at the “farm” end of the spectrum. Our food and beverage specialty team understands the full food and beverage cycle and the changing needs of our food and beverage clients in heavily-regulated industries that are impacted by narrow margins, seasonality and health-conscious consumers. We work alongside food processors, contract manufacturers, packagers, distributors, wholesalers, retailers, and restaurants.

Our attorneys assist food and beverage companies with business transactions, protecting their technology and other intellectual property, and providing advice on employee and labor issues, zoning, environmental compliance, advertising, labeling, and complex supply and manufacturing contracts.

Experience
  • Representing one of the nation’s largest foodservice and candy, snack and beverage distributors in acquisitions, trademark registrations, financings, and general corporate matters.
  • Helping one of the country’s largest wine retailers expand into the Midwest.
  • Representing a healthy snack food manufacturer in its initial round of private equity financing, substantial nationwide growth and subsequent refinancing through a large private equity fund.
  • Representing a private equity fund in its purchase of a Colorado-based produce distributor, and have continued to represent the distributor as it expands its operations to additional locations.
  • Representing two independent grocery store owners/operators in their collaborative efforts with Supervalu to acquire certain Rainbow Foods properties for conversion and operation as Cub Foods Stores.
  • Advising a grocer in the development, co-development and financing of new and existing grocery operations in Minnesota, Wisconsin and Florida. We also helped the business purchase existing grocery operations with liquor permits and transfer such permits to new developments.
  • Advising one of the nation’s largest producer and marketers of shell eggs in strategic transactions, financing, real estate development, employment matters, recalls, and supply agreements.
  • Representing a private equity group in the acquisition of a food ingredient business located in the western United States. We continue working with the operating company on a variety of corporate matters including key supply and customer agreements.  
  • Advising a large independently owned grocery operation with stores located in Minnesota and South Carolina.
  • Advising a gourmet cookie company through their sale to a private equity fund.
  • Advising a leading contract packager of dry foods serving some of North America’s largest food and consumer products companies on general corporate and trademark matters and supply agreements.
  • Advising one of nation’s largest retail grocery chains in a variety of commercial litigation matters.
  • Representing a national chain of southern-style barbecue restaurants in real estate leasing matters.

Operators
