The complex and often delicate relationships among companies that create goods and services and the franchisees, dealers, distributors, and sales representatives that market those goods and services often lie at the heart of a business’s success. Those relationships can be difficult to navigate without sound legal advice. In addition to presenting contracting challenges, distribution and sales relationships often trigger intellectual property, antitrust, regulatory, and other legal considerations. The ease of online reselling adds a further level of complexity and challenge. 

Lindquist works closely with franchisers and co-ops, manufacturers, dealers, sales representatives, and others to retain their competitive position, preserve the business relationships they need in order to thrive and resolve disputes in a manner that is most advantageous to their business. We focus on understanding the needs of both you and your distribution or sales “partner” to help craft terms of a relationship that has a high chance of success. We also consult on ongoing relationships to anticipate and address issues before they become major problems. And, when necessary, we bring to bear all of our skills at resolving disputes in your best interests.

Experience
  • Advised a regional fitness center business on franchise requirements for expansion into other states.
  • Represented group of potential franchisees in evaluating proposed real estate-related franchise agreement and analyzing legal and business risks in agreement.
  • Worked with industrial equipment manufacturer to revise distributor agreements to govern its distributors.
  • Coordinated with pharmaceutical-products client and foreign counsel in various countries regarding client’s ability to terminate or modify agreements governing foreign sales representatives.
  • Drafted international distribution agreement for client in medical device industry.
  • Advised distributor of large medical device regarding rights and obligations following termination of distribution agreement by manufacturer.
  • Drafted independent sales representative agreement on behalf of exclusive U.S. distributor of high-tech agricultural equipment.
  • Advised ice cream retail business on expansion possibilities which would require a franchise system.
  • Advised manufacturer of industrial equipment regarding process for terminating multi-line dealers in various states.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
