Ray assists privately held entities with virtually all aspects of business, including:
- Mergers and acquisitions
- Corporate finance and securities
- Loan transactions
- Corporate governance
- Leasing, buying, and selling strategic assets
- Contract negotiation
- Manufacturing, distribution, and licensing
Clients turn to him because he possesses—or, for first-time clients, develops—in-depth knowledge of the management and operations of their businesses. Ray’s goal is to understand how his clients make money, as well as the points in that process where his legal experience can promote greater strength and prosperity for companies.
Through nearly a decade of working closely with privately held businesses, Ray has developed processes that streamline common pursuits, such as raising capital for startup companies and strategic transactions.
Although he assists businesses in numerous industries, Ray has particular knowledge of and experience with mergers and acquisitions involving insurance companies. He also focuses on windpower projects, working with developers and owners in all phases of windfarm development, including power-purchase agreements, interconnection, land rights, financing, and M&A transactions.
Ray is a member of the American, Minnesota, and Hennepin and Ramsey county bar associations and is active in the American Wind Energy Association. He has been recognized four times in “Rising Stars,” published annually by
Minnesota Law & Politics. He also serves as an adjunct professor at William Mitchell College of Law, where he teaches a class on buying and selling businesses.
