Ben Skoglund’s practice is focused on assisting buyers and sellers of private and public entities in various types of M&A transactions. Ben also assists clients with general corporate issues ranging from governance matters to contract drafting to regulatory compliance.

Before joining the firm, Ben was a teacher in the Bloomington Public School system in Bloomington, MN.

Representative Experience
  • Managing, negotiating and drafting transaction documents for the purchase and sale of businesses ranging from protective sports equipment manufacturing to silica production and international distribution
  • Counseling business team members and negotiating and drafting software license, consulting, services, research-license and non-disclosure agreements for the international health data analytics business unit of a Fortune 25 company
  • Drafting transaction documents for various transactions, including the acquisition of businesses in the voice-enabled application and data solutions industry and the divesture of a NYSE-listed equipment manufacturer
  • Advising clients on matters relating to the Hart-Scott-Rodino Antitrust Improvements Act and preparing premerger notifications
  • Managing and conducting comprehensive due diligence for acquisitions by a food products and distribution services company listed by Forbes as among the Top 25 of America’s Largest Private Companies and the sale of a publicly reporting bioenergy company
  • Negotiating and drafting joint venture agreements for businesses in numerous industries, including creative consulting, food services and real property investment
  • Assisting emerging businesses and start-ups with formation, contract negotiation and general legal counsel
  • Guiding nonprofit charitable organizations and private foundations through incorporation and qualification for federal tax-exemption
