Kevin Kaiser is experienced in federal income tax planning for business and financial transactions. He advises clients on a wide range of business and tax issues relating to mergers and acquisitions, leveraged buyouts, application of the consolidated return regulations, general financing and financial instrument transactions, real estate transactions, structuring complex joint ventures and partnerships, post-acquisition restructurings, cross-border acquisitions and foreign tax planning strategies, and restructurings including workouts, distressed M&A and bankruptcy tax planning.

Kevin works with publicly- and closely-held strategic investors, private equity groups, hedge funds, trading firms and financial institutions to structure investments in the most tax-efficient manner. He also represents clients in tax controversy matters and the private letter ruling process with the Internal Revenue Service.

  • Represented private investment fund in structuring the sale of a portfolio company using a partnership leveraged buy-out structure and equity roll-over
  • Represented private equity fund in negotiating the terms and evaluating the tax aspects of the distressed financial restructurings of various portfolio companies
