In any M&A transaction, deciding the extent, duration and size of the seller indemnity is inevitably one of the most hotly-contested items in the deal. A relatively new insurance product, Representations and Warranties Insurance, is changing the landscape of transactional risk allocation and making this negotiation just a bit easier. At the most basic level, R&W Insurance either insures the seller for its indemnity for breach, or insures the Buyer for liabilities arising out of a breach. The strategic applications of this brand of insurance are game-changing, and many firms place R&W Insurance on every deal. 

Please join us on October 10 at Windows on Minnesota for a joint seminar hosted by Lindquist & Vennum and Aon in which we will explore R&W Insurance in greater detail - the seminar will focus on the terms and conditions available in the R&W Insurance marketplace, the extent and limitations of such coverage, strategic applications and case studies exemplifying the use of the product, and the practical details around procuring a policy (e.g., pricing, deductibles, process and timing). The presentation will also delve into some other transaction-related insurance products, including Tax Liability Insurance, Contingent Liability Insurance, and Litigation Buyout Insurance.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.


AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
