Alissa provides guidance to corporations, lenders, developers, sellers, purchasers, landlords and tenants on commercial real estate transactions. She frequently advises clients on commercial financing, solar development, office and retail leases, purchase and sale agreements, as well as general corporate formation and real estate due diligence. Alissa has significant experience drafting and negotiating purchase and sale agreements, retail and office leases, and commercial loan documents. 

Although Alissa’s primary practices is transactional, she also has state and appellate level litigation experience relating to foreclosures, evictions and real property title issues, including boundary and easement disputes, mortgage and mechanics’ lien validity, and priority disputes.

Experience

Real Estate Transactions:

  • Advised a national retail tenant on multiple 15,000-30,000 square foot leases in California, Montana, Louisiana, Arizona, Illinois, Louisiana and Mississippi. 
  • Represented a local developer in the purchase, sale and construction financing of an apartment complex on a project valued at more than $20M in Victoria, Minnesota.
  • Represented a local developer in the refinance of real estate valued at more than $20M in Marina Del Rey, California. 
  • Represented a local developer in a $5M bond financing transaction for an apartment complex in Eden Prairie, Minnesota. 
  • Represented a local company in the sale of real estate valued at more than $2.75M in Albuquerque, New Mexico and the sale of real estate valued at more than $2.45M in Santa Fe, New Mexico.
  • Represented a local company in a $11M refinance of four real estate properties located throughout the Twin Cities.
  • Represented the seller in a 1031 exchange transaction and $2.5M sale of an industrial building located in Coon Rapids, Minnesota.

Financing:

  • Represented national lenders in connection with land and construction financings for chain hotels and multi-family apartment complexes in numerous states throughout the country.
  • Represented the lead lender in multiple syndicated construction financings valued at more than $100M for a multi-phase multi-family apartments in California.
  • Represented the lead lender in multiple construction financings transactions ranging from $10-$20M on various multi-family apartment projects in Minneapolis, Minnesota. 
  • Represented the lender in a ground lease and $50M construction financing for commercial and residential development in Dallas, Texas.
  • Represented the lender in a $3.2M construction financing for commercial and residential development in Wayzata, Minnesota.
  • Represented the lender in a $4M real estate financing for commercial real estate located in Massachusetts and Indiana.

Charter Schools:

  • Represented various Minnesota charter schools and their affiliated building companies in the purchase and sale of land for the charter schools and related financing. 
  • Represented a Minneapolis charter school and the charter school’s affiliated building company in the purchase and sale of real estate in Minneapolis, Minnesota and bond financing valued at more than $18M for construction of the charter school.  

Solar Energy & Wind:

  • Represented a renewable energy company in multiple solar ground leases totaling 400 acres on a solar project in Texas valued at more than $10M.
  • Represented a renewable energy company in multiple solar ground leases totaling 400 acres on a solar project in Oklahoma valued at more than $8M.
  • Represented a renewable energy company in multiple solar ground leases covering 400 acres on a solar project in Minnesota valued at more than $8M.
  • Represented a renewable energy company in multiple solar ground leases covering more than 400 acres on a solar project in Missouri valued at more than $5M.

Real Estate Litigation:

  • ​Successfully represented national banks in contested foreclosures by action proceedings.
  • Successfully represented a local community bank at the appellate level in connection with a contested proceeding subsequent action.
  • Successfully represented numerous private lenders, banks and landlords in unlawful detainer actions involving commercial and residential tenants.

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
